Terms of Service

These Terms govern use of Build Backers, a curated forward-funding platform operated by Pennyworth LLC d/b/a Build Backers (“Build Backers,” “we,” or “us”). By creating an account, submitting a Vision, or using the platform, you agree to these Terms and the policies that apply to your role.
1. Current platform stage
Build Backers currently supports creator applications, reviewed Build Plans, public Build information, account tools, and launch notifications. Payments and Build Slot reservations are not yet enabled. Before any live payment flow opens, the applicable payment, refund, tax, shipping, and campaign-specific terms will be displayed for acceptance.
2. Accounts and eligibility
You must provide accurate information, keep your credentials secure, and promptly update information that changes. You are responsible for activity under your account. You must be at least 18 years old and legally able to enter a contract. We may require identity, business, rights, safety, or production information before approving participation.
3. What Build Backers does
We review proposed physical Builds and may help structure a Build Plan, Build Slots, pricing, production, and fulfilment information. Review is a risk-reduction process, not a promise that a Build will fund, ship on a particular date, or be free from production problems. We may approve, reject, request revisions to, pause, cancel, or remove a Vision, Build Plan, account, or Build when needed to protect backers, creators, the platform, or the law.
4. No investment or ownership interest
Backing a Build, when enabled, will be a pre-purchase or support payment for the specifically described reward or First Run unit. It is not an investment, security, loan, donation, subscription, equity interest, profit share, voting right, or ownership stake in Build Backers or a creator’s business. A backer receives only the item, recognition, or benefit described for the selected Build Slot.
5. Submissions and intellectual property
You retain ownership of content you submit. You grant Build Backers a limited, non-exclusive license to host, review, reproduce, format, display, market, and share the content with approved service providers as reasonably needed to evaluate, operate, promote, produce, document, and fulfil the proposed Build. You represent that you have the rights needed for every submission and that it does not infringe intellectual property, privacy, publicity, or other rights.
6. Acceptable use
You may not use the platform for fraud, impersonation, unlawful goods, infringement, malicious code, scraping that disrupts service, security testing without written authorization, harassment, misleading claims, or attempts to bypass approval, account, inventory, or payment controls.
7. Service availability and changes
We may change or discontinue features, impose reasonable limits, or suspend service for maintenance, safety, legal, or operational reasons. We do not promise uninterrupted availability. Material changes to these Terms will be posted with a new effective date and, when required, presented for renewed acceptance.
8. Disclaimers and limitation of liability
To the maximum extent permitted by law, the platform is provided “as is” and “as available.” Build Backers and Pennyworth LLC are not liable for indirect, incidental, special, punitive, or consequential damages or lost profits. For a paid Build, total liability is limited to the amount paid for the specific transaction at issue. These limits do not apply where prohibited by law, including non-waivable consumer protections, gross negligence or willful misconduct, or liability for personal injury, death, property damage, or product liability that cannot lawfully be limited.
9. Governing law
Except where applicable consumer law requires otherwise, these Terms are governed by Texas law. Nothing in these Terms waives a right or remedy that cannot legally be waived.
